Terms of Use
Rules governing access to and use of the Swiss Agent Network service and the Sania assistant.
1. Purpose and scope
These terms of use (“Terms”) govern access to and use of the Swiss Agent Network service (“the Service”), published by M-Heberge Avon (“we”, “the Publisher”). By creating an account or using the Service, the user (“you”, “the Client”) accepts these Terms without reservation. Commercial conditions (pricing, subscription) are set out in our Terms of Sale.
2. Service description
Swiss Agent Network is a platform of assistants based on artificial intelligence (“the Agent”) intended for professionals and businesses. The Agent assists the Client with tasks such as e-mail management, preparing quotes and invoices, follow-ups, monitoring and appointment management, through the integrations the Client activates.
Human validation. Outgoing actions prepared by the Agent (sending an e-mail, a quote, a publication, etc.) are by default subject to the Client’s approval in the “To approve” area before execution. The Client retains control and final responsibility for the actions they approve.
3. Eligibility and account
The Service is intended for professionals acting in the course of their business. The Client must be of legal age and have legal capacity. The Client is responsible for the accuracy of the information provided, for the confidentiality of their credentials and for all activity carried out from their account. Any suspicious use must be reported to us without delay.
4. Acceptable use
The Client undertakes not to use the Service to:
- breach any law or regulation, or the rights of third parties;
- send unsolicited (spam) or fraudulent communications;
- process data for which they do not hold the required rights or legal bases;
- attempt to circumvent security measures, overload or disrupt the Service;
- resell or make the Service available to third parties without authorisation.
The Client remains solely responsible for the content they submit to the Agent and for the instructions they give it.
5. Role and limits of artificial intelligence
The Agent is an assistance tool. Despite our efforts, its output may contain errors, inaccuracies or outdated information. It does not constitute legal, tax, accounting, medical or financial advice. The Client must verify any output before relying on it or approving it. The Publisher does not guarantee any particular result.
6. Intellectual property
The Publisher retains all rights to the Service. The Client retains ownership of the content they import or generate through the Service (“Client Content”). The Client grants the Publisher a limited, non-exclusive licence for the sole purpose of providing and improving the Service, in accordance with our Privacy Policy and our Data Processing Agreement (DPA).
7. Availability and maintenance
The Service is provided “as is” and “as available”. We strive to ensure high availability but do not guarantee uninterrupted operation. Interruptions for maintenance, updates or external causes (third-party providers) may occur.
8. Limitation of liability
To the extent permitted by Swiss law, the Publisher’s liability is excluded for indirect damages (loss of profit, data or customers). Where liability is established, it is limited to the amount paid by the Client during the twelve (12) months preceding the triggering event. These limitations do not apply in case of wilful misconduct or gross negligence.
9. Personal data
The processing of personal data is described in our Privacy Policy. Where the Publisher processes personal data of third parties on behalf of the Client (e.g. the Client’s contacts or customers), the Data Processing Agreement applies.
10. Term, suspension and termination
These Terms apply for as long as the Client uses the Service. We may suspend or terminate access in the event of breach, non-payment or abusive use, where applicable after formal notice has remained without effect. Subscription termination is governed by the Terms of Sale.
11. Changes to the Terms
We may amend these Terms. Substantial changes are communicated with reasonable notice. Continued use after entry into force constitutes acceptance.
12. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding conflict-of-law rules and the Vienna Convention on the International Sale of Goods. Exclusive jurisdiction lies in Geneva, subject to any mandatory jurisdiction.
